RD ANNOUNCES ELOOPZ ACQUISITION

Raia Drogasil S.A. (“RD” or “Company”), hereby informs to the market that, through its subsidiary RD Ads Ltda, it signed a Sales and Purchase and Other Covenants Agreement between the shareholders of eLoopz serviços de promoções de vendas Eireli (“eLoopz”), for the acquisition of 100% of eLoopz (“Acquisition”).

eLoopz is a technology startup specialized in the development of media solutions for retailers through the implementation of hardware, mostly screens installed within physical stores, and software for efficient management of these assets. Founded in 2017, and having RD as a customer ever since, eLoopz consolidated itself as a platform that helps top retailers to maximize their in-store customer experience and to create new revenue streams from the sale of ads.

The acquisition of eLoopz will allow RD to develop new marketing solutions to impact our 45 million active customers, intensifying its activities in digital out-of-home media within our pharmacies, strengthening the marketing strategy of advertisers in the physical and digital channels via RD Ads.

RD Ads is RD’s advertising branch, also founded in 2017 with the objective to connect brands to their customers through the integration of different media channels, both physical and digital, and sophisticated impact measurement. Following the model of previous investments, the founding partners will remain in the operation alongside with the other employees of this structure, tightly integrated with RD Ads.

The investment in eLoopz, completed through one of RD’s controlled companies, is part of RD Ventures, RD’s Corporate Venture Capital platform, and seeks to accelerate the digitalization of retail and expansion of the media business.

The closing of the transaction is expected to be concluded within next weeks.
